1. Introduction

Welcome to YuciferPay ("YuciferPay", "we", "us", or "our"). YuciferPay provides plug-and-play payment infrastructure designed to help businesses manage payout and disbursement operations without building the underlying infrastructure themselves.

These Terms & Conditions ("Terms") apply to your access to and use of the YuciferPay website, dashboard, APIs, software, documentation, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree with these Terms, please do not use the Services.

2. What YuciferPay Provides

YuciferPay is a plug-and-play payout payment infrastructure platform. We provide software and infrastructure that helps businesses manage payment operations through supported payment providers.

Depending on the Services available to your account, YuciferPay may provide functionality including:

• One-time payouts and disbursements
• Scheduled payments
• Recurring payment functionality
• Payment tracking
• Transaction status management
• Transaction records
• Payment monitoring
• Payment failure handling
• Retry functionality
• Payment provider integrations
• APIs and developer tools
• Dashboard and reporting functionality

Features may vary depending on your account, plan, location, payment provider, and other operational or technical factors.

3. YuciferPay Is Not a Bank or Payment Provider

YuciferPay is a payment infrastructure platform. YuciferPay does not itself operate as a bank or replace the payment providers used by customers.

YuciferPay may connect businesses to third-party payment providers such as Paystack, Flutterwave, Nomba, banks, or other financial service providers.

These third-party providers provide the payment rails and financial services through which funds may actually be transferred.

YuciferPay provides the infrastructure around those payment rails, including functionality for managing, scheduling, tracking, and operating payout processes.

Your use of any third-party payment provider may also be subject to that provider's separate terms, policies, and requirements.

4. Current Service and Regulatory Status

YuciferPay is currently developing and operating its platform as a payment infrastructure product.

Nothing on this website or within the Services should be interpreted as a representation that YuciferPay is a bank, deposit-taking institution, payment service provider, or other regulated financial institution unless expressly stated in a separate agreement or official regulatory disclosure.

Where a payment or financial service requires a licensed or regulated provider, YuciferPay may rely on supported third-party providers to provide that service.

5. Eligibility

You may use the Services only if you have the legal capacity and authority to enter into these Terms.

If you are using YuciferPay on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to these Terms.

We may refuse or restrict access to the Services where necessary for security, legal, regulatory, fraud-prevention, or operational reasons.

6. Account Registration

Certain Services require you to create a YuciferPay account.

You agree to provide accurate, complete, and current information when creating and maintaining your account.

You are responsible for:

• Maintaining accurate account information
• Keeping your login credentials secure
• Protecting your API keys and authentication credentials
• All authorised activity performed through your account

You must notify us promptly if you believe your account or credentials have been compromised.

7. API Keys and Security

API keys and authentication credentials must be treated as confidential.

You must not publicly expose, publish, sell, transfer, or otherwise disclose your API keys.

You are responsible for implementing appropriate security practices when integrating YuciferPay into your applications.

If you believe an API key has been compromised, you should immediately revoke or replace it and notify YuciferPay where appropriate.

8. Payouts and Disbursements

YuciferPay allows eligible businesses to create, manage, and monitor payout and disbursement operations through supported payment providers.

Submitting a payout request through YuciferPay does not mean that the underlying payment has been successfully completed.

A payment may be pending, rejected, failed, delayed, reversed, or otherwise affected by a payment provider, bank, recipient institution, network, regulatory requirement, or other third-party service.

You are responsible for ensuring that payout instructions, recipient information, payment amounts, schedules, and other information submitted through your account are accurate.

9. Third-Party Payment Providers

YuciferPay relies on third-party payment providers and financial institutions for certain payment services.

Third-party providers may experience outages, delays, rejected transactions, API failures, network problems, maintenance, regulatory restrictions, or other issues that may affect payment processing.

YuciferPay may provide functionality intended to identify, track, retry, or manage certain payment failures, but we do not guarantee that every failed transaction will be successfully completed.

YuciferPay is not responsible for failures or delays caused solely by systems or services outside our reasonable control.

10. Customer Responsibilities

You are responsible for your use of YuciferPay and for ensuring that your use of the Services complies with applicable laws, regulations, and third-party provider requirements.

You are responsible for ensuring that you have the necessary authority to initiate payments to your recipients.

You must not use YuciferPay to:

• Conduct fraudulent transactions
• Facilitate illegal activities
• Facilitate money laundering or terrorist financing
• Circumvent applicable financial regulations
• Initiate unauthorised payments
• Attempt to gain unauthorised access to another account
• Interfere with or abuse the Services
• Use the Services for prohibited activities

11. Compliance and Verification

YuciferPay or its third-party payment providers may require businesses to provide information for identity verification, business verification, fraud prevention, risk assessment, or compliance purposes.

You agree to provide accurate information when requested and to cooperate with reasonable verification requirements.

Failure to provide required information may result in restricted access to certain Services or payment operations.

12. Fees

Some YuciferPay Services may be subject to fees.

Applicable YuciferPay fees will be communicated through the platform, pricing information, customer agreement, or other applicable documentation.

Third-party payment providers may charge additional fees. Such fees are separate from YuciferPay fees unless expressly stated otherwise.

YuciferPay may change its fees in the future. Where required, we will provide reasonable notice of material pricing changes.

13. Refunds, Reversals, and Disputes

Refunds, reversals, chargebacks, and other payment-related events may be subject to the policies and procedures of the relevant payment provider or financial institution.

YuciferPay may provide tools for tracking or managing such events, but the underlying resolution may depend on the relevant payment provider.

You remain responsible for resolving disputes with your customers, recipients, employees, vendors, or other parties where applicable.

14. Data and Privacy

YuciferPay may process information necessary to provide the Services, including account information, transaction information, recipient information, and technical information.

Your use of the Services is also subject to our Privacy Policy, which explains how applicable personal information is collected, used, stored, and protected.

Where you provide personal information belonging to another person, you are responsible for ensuring that you have the appropriate authority and lawful basis to provide that information to YuciferPay.

15. Customer Data

You retain ownership of information and data that you submit to YuciferPay in connection with your use of the Services ("Customer Data").

You grant YuciferPay the limited rights necessary to host, process, transmit, store, and otherwise use Customer Data for the purpose of providing, securing, maintaining, and improving the Services and complying with applicable legal obligations.

16. Intellectual Property

YuciferPay's website, software, APIs, documentation, branding, designs, trademarks, and other materials are owned by or licensed to YuciferPay and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of YuciferPay's intellectual property to you.

You may use the Services only in accordance with these Terms and any applicable documentation or agreement.

17. Service Availability

We aim to provide reliable and secure Services. However, we do not guarantee that the Services will always be available, uninterrupted, or error-free.

Services may occasionally be unavailable because of maintenance, upgrades, security incidents, infrastructure failures, third-party provider outages, network problems, or circumstances beyond our reasonable control.

18. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis.

YuciferPay does not guarantee that every payment submitted through the platform will be successful or completed within a particular period.

YuciferPay does not guarantee the availability, performance, accuracy, or reliability of third-party payment providers, banks, telecommunications networks, or other external services.

19. Limitation of Liability

To the maximum extent permitted by applicable law, YuciferPay will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, or goodwill arising from your use of the Services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

20. Indemnification

You agree to indemnify and hold harmless YuciferPay and its personnel, contractors, and service partners from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your misuse of the Services
• Your violation of these Terms
• Your violation of applicable law
• Unauthorised activity conducted through your account
• Incorrect payment instructions provided by you
• Your infringement of another party's rights

21. Suspension and Termination

We may suspend, restrict, or terminate access to your account or the Services where reasonably necessary because of:

• A violation of these Terms
• Security concerns
• Suspected fraud or unlawful activity
• Compliance or regulatory requirements
• Failure to pay applicable fees
• Requirements from a payment provider or financial institution

Where reasonably possible, we may provide notice before restricting or terminating access. However, immediate action may be required to protect users, payment systems, YuciferPay, or third parties.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices, security requirements, legal requirements, or regulatory obligations.

Updated Terms will be published on this page with a revised "Last updated" date.

Where permitted by applicable law, your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms.

23. Governing Law and Disputes

These Terms will be governed by the laws applicable to the relationship between you and YuciferPay, subject to any mandatory legal requirements that apply to the parties.

Any dispute arising from the Services or these Terms will be addressed through the applicable dispute-resolution process agreed between the parties or otherwise available under applicable law.

This section may be updated when YuciferPay establishes its formal legal entity and applicable contractual framework.
